Uranium Royalty Corp. operates exclusively within the uranium royalty sector, strategically building and overseeing a geographically diverse collection of uranium interests. Its extensive portfolio includes royalty stakes in numerous projects, such as major sites in Canada (including McArthur River and Cigar Lake), various locations across the United States (spanning Arizona, Wyoming, New Mexico, South Dakota, and Colorado), and the Langer Heinrich project in Namibia. VANCOUVER, BC, July 20, 2026 /PRNewswire/ -- Uranium Royalty Corp. (NASDAQ: UROY) (TSX: URC) ("URC" or the "Company") is pleased to announce shareholder approval of its previously announced plan of arrangement, as contemplated by an arrangement agreement, dated as of April 16, 2026 (the "Arrangement Agreement"), by and between the Company, certain affiliated entities of Orion Resource Partners (USA) LP (the "Orion Sellers") and HRG Metals LP, a subsidiary of the Ontario Teachers' Pension Plan (together with the Orion Sellers, the "Sweetwater Investors"), pursuant to which the Sweetwater Investors agreed to contribute and sell their approximately 92% interest in certain entities holding trona royalty assets and landholdings in Wyoming, Utah and Colorado, United States (the "Sweetwater Entities"), to Uranium Royalty Corp., a newly formed parent company incorporated in Delaware ("New URC"). The Arrangement Agreement will result in the combination of the Company and the Sweetwater Entities under New URC.

Uranium Royalty Corp. is reiterated as a Buy below $4, capitalizing on rising uranium demand and prices. Despite uranium's bullish price trend in 2026, UROY shares have corrected 53.4% from January highs, mirroring sector weakness. UROY's diversified royalty model limits mining risk, with projects spanning Canada, the U.S., Spain, and Namibia at various stages.

The board of directors of Uranium Royalty Corp unanimously recommends shareholders vote FOR the Arrangement Resolution. Your vote is important no matter how many shares you hold.

Uranium Royalty Corp. is rated a buy with a 12–18 month target of $4.50, reflecting its transformation into a cash-flowing royalty platform. The Sweetwater Royalties acquisition diversifies UROY into strategic minerals, providing stable, long-duration royalty cash flow and significant embedded growth optionality. UROY's structure offers leveraged uranium price exposure and strategic mineral ownership without operational mine risk or high sustaining capital requirements.
